Speaker License Agreement

This agreement is entered into on the date of application by and between the Speaker (“Licensor”) and Kansas Association of REALTORS®, a Kansas not-for-profit corporation, with an address of 3644 SW Burlingame Rd Topeka KS66611 (“KAR”).

RECITALS:

WHEREAS, Licensor is the sole and exclusive owner of or otherwise has the power and authority to grant to KAR, the right, privilege and license to publish, copy, distribute, and otherwise use the copyrighted material hereto (the “Work”); and WHEREAS, both KAR and Licensor are in agreement with respect to the terms and conditions upon which KAR shall use, copy, distribute and/or make derivative works of the Work;

NOW, THEREFORE, in consideration of the promises and agreements set forth herein, the parties, each intending to be legally bound hereby, do promise and agree as follows.

1. LICENSE GRANT

A. Licensor hereby grants to KAR for a non-exclusive, irrevocable perpetual license to reproduce, distribute, copy, publish, and use the Work.

B. I irrevocably grant to KAR a perpetual, worldwide, fully paid-up, royalty-free right and license to the unlimited use of my name, voice, likeness, portrait, persona, character, characterization, image, physical attributes and biography (collectively “Likeness”) in the promotion of, identification of, and use of the Work, whether now existing or hereafter created.

C. KAR may grant any sublicenses to the Work and/or Likeness to any third party without the prior express written consent of the Licensor, but in accord with the terms of this agreement.

2. TERM OF THE AGREEMENT

This agreement shall be effective and binding upon Licensor and KAR upon written acceptance by Licensor (“Effective Date”). The term of this Agreement shall commence on the date of acceptance by Licensor and shall continue indefinitely, if KAR remains in compliance with all terms and conditions set forth herein.

3. PUBLICATION

Inconsideration for the licenses granted hereunder, KAR agrees to publish and/or distribute the Work through any mediums KAR deems appropriate while providing attribution to the Licensor, including, but no limited to, display at KAR’s website and distribution to various real estate related entities for use at their respective websites, in newsletters, and/or in social media.

4. WARRANTIES AND OBLIGATIONS

A. Licensor represents and warrants that it has the right and power to grant the licenses granted herein and that there are no other agreements with any other party in conflict herewith. Licensor represents and warrants that the Work does not infringe any valid right of any third party and that no part of the Work is defamatory or otherwise violates the privacy or publicity rights of any third party.

B. Licensor represents and warrants that the Work contains content that is compliant with all relevant ethical and legal standards as of the Effective Date.

5. OWNERSHIP

Subject to the license granted herein, KAR agrees that KAR shall not acquire any other rights in the Work.

6. INDEMNITY

I will defend and hold the Kansas Association of REALTORS® (KAR) harmless from any cost of loss including attorney’s fees incurred by KAR in defending such claims if raised by third parties.

7. TERMINATION

The agreement may be terminated by either party upon sixty (60) days written notice to the other party.

8. NO JOINT VENTURE

Nothing contained herein shall constitute this arrangement to be employment, a joint venture or a partnership.

IN WITNESS WHEREOF, the parties hereto, intending to be legally bound hereby, have each caused to be affixed hereto its or his/her hand and seal the day indicated.
